Overview

This website is operated by NEEDZ Studio Ltd. ("NEEDZ," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of needzcanada.com, related content, accounts, features, and services, and purchases made through the website (collectively, the "Service").

By accessing the Service, creating an account, or placing an order, you agree to these Terms and to the policies incorporated by reference, including our Refund & Return Policy, Shipping & Pickup Policy, Pre-Order Policy, NEEDZ Rewards Policy, and Privacy Policy. If you do not agree, do not use the Service.

These Terms do not limit any right or remedy that cannot lawfully be waived under applicable consumer protection or privacy law.

1. Eligibility and authority

You must be at least the age of majority in your province, territory, state, or country of residence to make a purchase. A minor may use the Service only with the involvement and consent of a parent or legal guardian who agrees to be responsible for the minor's use.

If you use the Service on behalf of a business or another person, you represent that you have authority to bind them to these Terms.

2. Accounts

You agree to provide current, complete, and accurate information and to update it when necessary. You are responsible for safeguarding your password and for activity under your account, except to the extent caused by NEEDZ's failure to use reasonable security measures.

You may not create accounts using false identities, impersonate another person, sell or transfer an account, or use multiple accounts to evade purchase limits, suspensions, or other restrictions. Notify support@needzcanada.com promptly if you suspect unauthorized use.

We may suspend or terminate an account where reasonably necessary to protect customers, NEEDZ, or the Service; investigate fraud or abuse; enforce these Terms; or comply with law. Where appropriate, we will provide notice or an opportunity to resolve the issue.

3. Product information and availability

We try to present product descriptions, specifications, images, colours, dimensions, prices, release dates, inventory, and other information accurately. Display settings, prototypes, manufacturer materials, hand finishing, production changes, translations, and packaging updates may cause the delivered product to differ from an image or preliminary description.

Products may have limited quantities, regional restrictions, purchase limits, or online-only availability. Placing an item in a cart does not reserve it. We may correct errors, update information, limit quantities, discontinue a product, or cancel an affected order, subject to applicable law.

“In stock,” “pre-order,” “available,” and similar labels reflect the best information reasonably available when displayed but do not guarantee acceptance or fulfilment.

4. Prices, currency, taxes, and charges

Prices are shown in the currency identified on the website or at checkout and may change without notice before an order is accepted. Applicable sales tax, shipping, duties, brokerage, payment-service charges, and other amounts are displayed or described at checkout where reasonably calculable.

If a product or order is listed at an incorrect price because of a typographical, system, supplier, exchange-rate, tax, or data error, we may cancel the affected item or ask whether you wish to proceed at the correct price. If we cancel after capturing payment, we will refund the cancelled amount to the original payment method.

You are responsible for import taxes, duties, brokerage, and other destination charges unless checkout expressly states that they are included.

5. Orders and contract formation

Submitting an order is an offer to purchase. The order confirmation is an acknowledgment that NEEDZ received the offer; it is not an acceptance or guarantee of inventory. NEEDZ accepts the order when we send a shipment or ready-for-pickup confirmation, or otherwise expressly confirm acceptance.

We may verify payment, address, identity, eligibility, inventory, and purchase-limit compliance before acceptance. We may refuse, limit, or cancel an order for legitimate reasons, including inventory or supplier-allocation problems, pricing or product-data errors, payment failure, suspected fraud, unauthorized automation, quantity-limit evasion, apparent commercial resale, sanctions or legal restrictions, or circumstances outside our reasonable control.

If we materially change or cancel a paid order, we will use the contact information supplied with the order and provide any refund required by our Refund & Return Policy or applicable law.

6. Purchase limits, resale, and automated activity

Some products may have limits per person, household, account, payment method, billing address, shipping address, pickup recipient, or order. You may not evade a limit by using multiple accounts, identities, addresses, cards, devices, sessions, VPNs, proxies, scripts, or third parties.

You may not use bots, crawlers, scripts, browser automation, denial-of-inventory techniques, or other automated means to purchase products, interfere with fair access, overload the Service, or bypass a security or purchase-control measure. NEEDZ may cancel related orders and suspend involved accounts. Any refund or deduction will follow our Refund & Return Policy and applicable law; suspicion of automation alone does not create an arbitrary penalty.

Unless NEEDZ agrees in writing, products are offered for personal use and collection rather than unauthorized commercial resale or distribution.

7. Pre-orders

A pre-order reserves an expected unit from future supplier inventory but does not guarantee the manufacturer will produce, allocate, or deliver the item. Cutoff dates, release dates, and arrival windows are estimates and may change. A paid pre-order becomes final sale when submitted and the pre-order terms are accepted. The product-page cutoff closes ordering; it is not a customer cancellation window. Our Pre-Order Policy forms part of these Terms and provides the detailed rules for allocation, delays, final payment, exceptions, and fulfilment.

Full payment

If you select full payment, the product amount shown at checkout is charged when the order is placed. Eligible pre-orders currently receive the displayed 10% full-payment discount. Shipping is normally selected and charged after the item arrives at NEEDZ.

Deposit and final payment

If a deposit option is offered, eligible pre-orders currently require the displayed 20% deposit to reserve the item. Shipping is not charged with the deposit. When the item is ready, NEEDZ will notify you that final payment is available. You must pay the remaining balance, applicable shipping, and taxes within 30 calendar days after the notice, unless the product page, order, or notice gives you a longer period.

If you do not complete final payment by the stated deadline after reasonable notice, NEEDZ may cancel the reservation and retain the deposit to the extent permitted by law. The deposit is not an instalment loan or credit agreement; it is a partial payment toward the selected product.

Changes, delays, and cancellations

Manufacturers and distributors may alter schedules, packaging, accessories, specifications, allocation, or final appearance. NEEDZ will communicate material information when reasonably available. Cancellation and refund eligibility are governed by our Pre-Order Policy, Refund & Return Policy, and applicable law. No term relating to estimated delivery removes a statutory right that cannot lawfully be waived.

8. Payment

Available payment methods are displayed at checkout and are currently processed through Stripe. By submitting payment information, you represent that you are authorized to use the selected method and authorize the applicable charges.

Payment authorization may be declined, delayed, reversed, reviewed, or challenged by a financial institution or processor. NEEDZ is not responsible for a provider's independent decision, currency-conversion rate, cash-advance classification, or fee. You remain responsible for amounts properly due unless the order is cancelled or refunded under our policies or law.

We may correct a duplicated or erroneous charge and may request reasonable information to investigate a payment dispute or chargeback.

9. Shipping, pickup, returns, and refunds

Delivery, pickup, pre-order shipping, lost or damaged parcels, refused shipments, returns, exchanges, store credit, and refunds are governed by our Shipping & Pickup Policy, Pre-Order Policy, and Refund & Return Policy, which form part of these Terms.

Eligible regular-price, in-stock products may be submitted for an approved return within 30 calendar days after the order is marked completed following delivery or pickup. Pre-orders and other items listed as final sale are not eligible for change-of-mind returns. Current local pickup is free at the Richmond location displayed at checkout.

Title and risk are allocated as required by applicable law. Nothing in these Terms relieves NEEDZ of responsibility for loss or damage where responsibility cannot lawfully be excluded.

10. NEEDZ Points, promotions, gift cards, and store credit

NEEDZ may offer points, discounts, referral benefits, gift cards, promotional codes, waitlists, early access, or other programs. Additional program terms shown with an offer form part of these Terms.

The NEEDZ Rewards Policy governs points earning, pending status, redemption, points-priced products, qualifying spend, membership tiers, expiry, reversals, and program changes. If a specific promotion includes additional terms, those terms govern that promotion.

Under the current standard settings, eligible completed purchases earn 15 points per C$1 of eligible merchandise value; 1,000 points equal C$1; the minimum redemption is 10,000 points in 10,000-point increments; and standard points do not expire while the program and account remain active. Points cannot be redeemed on pre-orders.

Unless applicable law or specific program terms provide otherwise:

• points and promotional benefits have no cash value, are personal, and may not be sold, transferred, pooled, or exchanged for cash;
• points are earned and become available only after the conditions shown by NEEDZ are satisfied, and may remain pending until fulfilment or completion;
• returned, refunded, cancelled, fraudulent, or chargeback transactions may cause associated points or benefits to be reversed;
• discounts and codes cannot be combined unless expressly allowed;
• NEEDZ may correct errors and suspend benefits obtained through fraud, abuse, automation, or technical manipulation; and
• NEEDZ may change or end a program with reasonable notice, subject to applicable law and any specific commitments already made.

Gift cards and store credit are subject to the terms provided when issued and applicable consumer law. Protect codes and account access; contact us promptly about suspected unauthorized use.

11. Reviews, submissions, and user content

If you submit a review, image, comment, suggestion, contest entry, or other content ("User Content"), you retain ownership of your original content. You grant NEEDZ a worldwide, non-exclusive, royalty-free licence to host, reproduce, format, translate, publish, display, and use that User Content for operating, improving, and promoting NEEDZ and the Service, in any media, for the duration of applicable intellectual-property rights. This licence does not authorize NEEDZ to use private support communications as public endorsements without permission.

You represent that you have the necessary rights and that User Content is accurate to your knowledge and does not violate law, privacy, confidentiality, intellectual property, or another person's rights. Do not submit unlawful, threatening, defamatory, deceptive, obscene, malicious, infringing, or technically harmful material.

We may moderate or remove User Content that violates these Terms, but we are not required to monitor all content. We will disclose incentives for reviews where required by law.

12. Intellectual property

The Service and its original text, graphics, layout, logos, photographs, videos, software, code, and other content are owned by or licensed to NEEDZ and protected by applicable intellectual-property law. Product names, character names, artwork, and third-party trademarks belong to their respective owners.

NEEDZ grants you a limited, revocable, non-transferable, non-exclusive licence to access and use the Service for lawful personal use. You may not reproduce, scrape, republish, distribute, modify, sell, reverse engineer, frame, or commercially exploit the Service or its content without prior written permission, except as permitted by law.

13. Third-party tools, links, and services

The Service may rely on or link to third-party payment pages, maps, carriers, social platforms, analytics, embedded content, or optional tools. Third parties may impose their own terms and privacy policies. NEEDZ does not control and is not responsible for a third party's independent content, availability, acts, or omissions.

Your use of an optional third-party service is at your discretion and subject to its terms. This section does not exclude responsibility that NEEDZ has under applicable law for service providers acting on our behalf.

14. Prohibited uses

You may not use the Service:

• for an unlawful, fraudulent, deceptive, abusive, or unauthorized purpose;
• to violate intellectual-property, privacy, publicity, consumer, export, sanctions, or other rights or laws;
• to transmit malware, destructive code, spam, phishing, or unsolicited commercial messages;
• to collect or track personal information without lawful authority;
• to impersonate another person or misrepresent an affiliation;
• to interfere with security, availability, performance, or another person's use;
• to probe, scan, access, or test systems or accounts without authorization;
• to scrape or extract data through automated means except with written permission or as permitted by law;
• to bypass purchase limits, access controls, rate limits, robots instructions, or security measures; or
• to submit false orders, claims, reviews, disputes, or chargebacks.

We may investigate and take proportionate action, including restricting access, cancelling affected orders, preserving evidence, or reporting conduct to an authorized body.

15. Service availability and corrections

We may maintain, update, modify, suspend, or discontinue all or part of the Service. We do not promise uninterrupted, secure, or error-free availability, but we will use reasonable efforts appropriate to an online retailer.

Information on the Service may contain typographical, pricing, inventory, release-date, shipping, or other errors. We may correct an error and update information. If a correction materially affects an order already placed, the order provisions and applicable policies govern the available options.

16. Disclaimers

To the maximum extent permitted by law, the Service and general informational content are provided “as is” and “as available.” NEEDZ disclaims implied representations, warranties, or conditions that may lawfully be excluded, including merchantability, fitness for a particular purpose, durability, title, and non-infringement.

Manufacturer warranties, if any, are provided by the manufacturer under its own terms. NEEDZ does not guarantee that a collectible will increase or retain value, receive a particular grade, match an unofficial prototype exactly, or be suitable for investment.

The exclusions in this section do not apply to an express commitment made by NEEDZ, a statutory warranty or condition that cannot be excluded, or loss caused by conduct for which liability cannot lawfully be limited.

17. Limitation of liability

To the maximum extent permitted by law, NEEDZ and its directors, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, punitive, exemplary, or consequential loss, or for loss of profit, revenue, data, goodwill, opportunity, or collectible value, arising from the Service or a product.

To the maximum extent permitted by law, NEEDZ's aggregate liability for a claim relating to a particular order or product will not exceed the amount paid to NEEDZ for that order or product.

These limits do not apply to fraud, wilful misconduct, gross negligence, personal injury or property damage caused by NEEDZ where liability cannot be excluded, breach of applicable privacy obligations, or any statutory consumer remedy that cannot lawfully be waived or limited. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

18. Indemnity

To the extent permitted by law, you agree to indemnify NEEDZ against third-party claims, losses, liabilities, and reasonable costs arising from your unlawful use of the Service, material breach of these Terms, or infringement of another person's rights. You are not required to indemnify NEEDZ for its own negligence, breach of law, or wrongful conduct.

19. Termination

You may stop using the Service at any time. NEEDZ may restrict or terminate access for a material or repeated breach, fraud, abuse, security risk, or legal requirement. Terms that by their nature should survive termination remain in effect, including payment obligations, intellectual property, disclaimers, liability limits, indemnity, and dispute provisions.

Termination does not automatically cancel an accepted order. Existing orders remain governed by these Terms and the policies in effect when the order was placed, unless law requires otherwise.

20. Governing law and disputes

These Terms and disputes relating to the Service are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules.

Subject to any mandatory consumer right to bring a claim elsewhere, the courts located in British Columbia have jurisdiction. Before starting a formal claim, you and NEEDZ agree to try in good faith to resolve the issue by contacting the other party and allowing a reasonable time for response. This does not prevent either party from seeking urgent relief or using a regulator, tribunal, small-claims process, chargeback right, or other remedy available by law.

21. Changes to these Terms

We may update these Terms by posting a revised version with a new “Last updated” date. Changes apply prospectively from their effective date. The Terms in effect when an order is placed generally govern that order unless a change is required by law or you agree otherwise. Continued use of the Service after a prospective change takes effect means you accept the revised Terms.

22. General provisions

These Terms and incorporated policies are the entire agreement between you and NEEDZ regarding the Service, except for additional written terms that apply to a specific program or transaction.

If a provision is found unlawful or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign your rights or obligations without NEEDZ's written consent. NEEDZ may assign these Terms in connection with a merger, reorganization, financing, or sale of the business, subject to applicable law.

Headings are for convenience only. “Including” means “including without limitation.” Electronic communications and records may satisfy legal writing and signature requirements where permitted by law.
